This offer is considered a public offer (hereinafter referred to as the "Offer") from AIW systems (hereinafter referred to as the "Provider"), providing services/products (hereinafter referred to as the "Product", "Services"), to all interested parties (hereinafter referred to as the "Client"), who wish to purchase/use the Product, as follows:

1.1. User – a natural or legal person who accepts the terms of this Public Offer and concludes an Agreement with the Provider.

1.2. OneB Platform – an integrated online system for business management, providing users with the ability to create their workspace, interact with employees and clients, and use the available applications within the platform.

1.3 Services or Product – any web application within the OneB Platform that the User utilizes either on a paid or free basis depending on the terms of the agreement with each individual product.

1.1. The Agreement is concluded between the Provider and the User by accepting the terms of this Public Offer and registering on the OneB platform.

1.2. Registration on the OneB platform is free, and the User has access to the basic functionality of the platform.

1.3. Certain applications available within the OneB platform are paid. The User agrees to pay for the use of these applications according to the prices indicated on the OneB platform.

1.4 Certain applications available within the OneB platform are free. The User can use them free of charge after registering on the OneB platform.

1.5 The Provider issues an invoice to the Client for the Product.

1.6 The Client is considered to have fully agreed to this Agreement when paying for the Product.

2.1 The Provider undertakes to provide the Client with the Product, and the Client undertakes to pay in accordance with the terms of the Agreement.

2.2 The Provider provides the User with access to the OneB platform with the ability to create and manage workspaces.

2.3 The User undertakes to use the OneB platform in accordance with the terms of use and privacy policy (link) established by the Provider.

2.4 The Provider is obliged to provide the Client with the full free functionality of the OneB platform and provide the functionality of the Product according to the tariff selected and paid for by the Client.

2.5 If the Client needs additional functionality or possible cooperation, they can contact the Provider.

2.6 The Provider is obliged to maintain confidentiality when working with the Client.

3.1 The Provider undertakes to provide the Client with access to the functionality provided on the OneB platform in accordance with the terms of the Agreement.

3.2 The Provider ensures the proper functioning of the OneB platform and takes the necessary technical measures to ensure the continuity and reliability of the services.

3.3 The Client has the right to use the services provided on the OneB platform for managing their business and improving its efficiency.

3.4 The Client undertakes to use the services in accordance with the provisions of the Agreement and applicable law.

3.5. The Client is not entitled to use the services for any illegal or harmful purposes, including the violation of the rights of third parties, the distribution of malicious software, or spam.

3.6 Some applications and services provided on the OneB platform are paid.

3.7 The Client may select and purchase a paid application according to the prices set by the Provider.

3.8 An application placed on the OneB platform marketplace can be purchased and downloaded into the Client's workspace provided there is a payment account.

3.8.1 Payment Account - an account used to store and manage financial information during electronic payments.

3.8.2 The Payment Account is located in the Billing, which in turn is located on the OneB platform.

3.8.3 A Payment Account is required to install a free Product as well. If a free Product is used, no payment is taken.

3.8.4 A Payment Account is necessary to use a paid Product on the OneB platform. The Client undertakes to provide correct payment data for making the payment.

3.8.5 The payment amount depends on the Product and the service package.

3.8.6 In case of non-payment, the paid Product will be deactivated until the full payment amount is received.

3.8.7 The Client has the right to cancel the payment or request a refund according to our policies and terms.

3.9 The Provider undertakes to keep confidential the financial data of the Client provided for conducting financial transactions with the Provider for the use of the paid Product.

4.1 The Provider undertakes to provide the Client with access to all functionality on the OneB platform in accordance with the terms of the Agreement.

4.2 The functionality of the OneB platform is free for the Client. The platform contains paid services and Products.

4.3 The free functionality of the OneB platform includes:

4.4 Paid functionality includes any paid Product, i.e., an internal web product placed on the marketplace.

4.5 The Client must familiarize themselves with all the functionality of the paid Product included in the service package.

4.6 The Provider undertakes to provide free Support to the Client.

5.1 The cost of each service package, as well as additional services, is agreed upon by the parties in the OneB platform invoices.

5.2 The Client pays for the OneB platform services by making a 100% prepayment through the Fondy payment system. Bank details are indicated in the OneB platform invoices.

5.3 The Client must pay for the services within the period specified in the invoice.

5.4 The Client, who uses the payment system to pay for the OneB platform services, can save the bank card details in the system and thereby consent to regular payments from such a card. In this case, the next payment is automatically deducted from the Client's card without additional agreement with the Client in accordance with the terms of this Agreement. If due to the expiration of the bank card or due to the lack of funds on the bank card the next payment was not automatically deducted, then the Client must make the next payment in any other way. If the Client refuses regular payments and does not make the next payment independently in any other way, then it is considered that the next payment is absent.

5.5 The cost of the services includes the cost of intellectual property rights to the reports created in the process of providing services. Such rights are transferred at the moment of transferring a copy of the report to the Client.

5.6 If the Client, who agreed to regular payments, decides to no longer receive services from the OneB platform and informs the OneB platform about it, such Client must independently refuse regular payments. Otherwise, the next payment may continue to be deducted from the Client's bank card regardless of whether the Client has stopped receiving services from the OneB platform. In case of such deduction, the amount of the next payment is not refundable to the Client.

6.1 All information that the Client transmits to the OneB platform is confidential, except in cases where such information is publicly available.

6.2 The Client transmits confidential information through communication channels defined by the OneB platform.

6.3 Confidential information may be disclosed only with the consent of the Client.

6.4 The OneB platform guarantees that it does not transmit any information received from the Client to any government organization.

6.5 In case of receiving any request from a government organization or court to disclose information concerning the Client, the OneB platform will inform the Client within the next business day after receiving such a request. In such a case, the parties undertake to use all means provided by law to refuse the satisfaction of such a request from the government organization, and if there are no grounds for refusal, to provide the information in the minimum amount required by law.

6.6 The financial expert must take all possible measures to prevent any third party from accessing confidential information.

6.7 The party responsible for disclosing confidential information is obliged to compensate the Client for all losses caused by such disclosure.

6.8 The Client transmits information to the OneB platform only through the platform itself.

7.1 The Agreement is effective from the moment of acceptance and throughout the entire term of the Services.

7.2 Each party has the right to terminate the Agreement unilaterally at any time by notifying the other party no later than 5 calendar days before the termination date. In such a case, the services actually provided by the Provider are subject to payment, and the remaining prepayment is returned by the Provider to the Client's account within 10 business days from the termination date.

7.3 The Provider has the right to change this Agreement at any time by posting it in a new edition.

8.1 Each party is responsible for the accuracy of its details and undertakes to promptly inform the other party about their change.

8.2 This agreement is governed by the laws of Ukraine. All discrepancies or misunderstandings are resolved through negotiations, otherwise – by a competent court if an agreement is not reached.
